These Terms of Service and Risk Disclaimer (the "Terms") govern your access to and use of the Division1 Terminal platform, website, software, community spaces, and any related services (collectively, the "Service") operated by Michiko Academy Ltd. By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Introduction and Acceptance

These Terms form a binding legal agreement between you ("you", "your", or "User") and Michiko Academy Ltd ("Michiko Academy", "Division1", "we", "us", or "our"). You accept these Terms by creating an Account, paying for a Subscription, or otherwise accessing or using the Service. If you are using the Service on behalf of an organisation, you confirm that you are authorised to bind that organisation, and references to "you" include that organisation.

If you do not understand, do not agree with, or are not willing to accept any part of these Terms, you must not access or use the Service.

References in these Terms to "Michiko Academy", "Division1", "Division1 Terminal", "we", "us", or "our" mean Michiko Academy Ltd. References to "the Terminal" mean the macro-data analysis platform operated by Michiko Academy Ltd.

3. Definitions

In these Terms:

  • "Account" means the user account you create to access the Service.
  • "Community" means any chatroom, forum, group, server, or other communication space provided as part of the Service, including the Macro Trading Floor Chatroom.
  • "Content" means any text, data, images, charts, indicators, scoring outputs, commentary, posts, or other material made available through the Service.
  • "Service" means the Division1 Terminal platform, the Website, the Terminal software, the Community, and any related products, services, content, tools, features, or marketing material provided by Michiko Academy Ltd.
  • "Subscription" means a paid recurring access plan to the Service (for example, the Essentials, Pro, or Student tier).
  • "User" means any person who accesses, uses, registers for, subscribes to, or otherwise interacts with the Service, including you.
  • "User-Generated Content" means any Content posted, uploaded, shared, or otherwise contributed by you or any other User to the Service, including in the Community.
  • "Website" means the website located at division1terminal.com and any subdomains we operate.

4. Eligibility

By using the Service, you represent and warrant that:

  • You are at least 18 years old.
  • You have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
  • You are not barred from receiving services under the laws of the United Kingdom or any other applicable jurisdiction.
  • All information you provide to us is accurate, complete, and current.

We may refuse, suspend, or terminate access to the Service for any person at our sole discretion.

5. Account Registration and Security

To access most parts of the Service, you must register for an Account. You agree to:

  • Provide accurate and complete information during registration.
  • Keep your login credentials confidential and not share them with any third party.
  • Notify us immediately if you suspect unauthorised access to your Account.
  • Take responsibility for all activity that occurs under your Account.

Each Account is for a single individual. You may not share, lend, sell, or transfer your Account or Subscription to any other person.

6. Subscriptions, Billing, and Cancellation

The Service is offered on a paid Subscription basis. By subscribing, you authorise us (and our payment processor, Stripe) to charge the recurring fee to your chosen payment method until you cancel.

Billing. Subscription fees are billed in advance on a recurring basis (monthly unless otherwise stated) at the price displayed at the time of subscription. Prices are inclusive of VAT where applicable. We reserve the right to change Subscription pricing for future billing periods on reasonable notice.

Cancellation. You may cancel your Subscription at any time from your account settings. Cancellation takes effect at the end of the current paid billing period, and you will retain access to the Service until that date. We do not provide refunds or credits for partial billing periods, unused time, or accidental renewals, except where required by applicable law. It is your responsibility to cancel your Subscription before your next renewal date if you do not wish to be charged for a further billing period. Once a renewal payment has been processed, that payment is non-refundable, regardless of whether you intended to cancel, forgot to cancel, did not log in, did not use the Service during the renewed period, or have any other reason for not cancelling in time.

Failed Payments. If any scheduled Subscription payment fails for any reason (including, without limitation, insufficient funds, an expired or cancelled card, a declined transaction, removal of your payment method, refusal by your bank or card issuer, a fraud-prevention block, a currency or geographic restriction, a chargeback, or any other cause), your access to the Service will be terminated immediately and without notice. We are not required to retry the payment, contact you, provide reminders, or hold your Account in good standing while you arrange alternative payment. Access will only be restored at our sole discretion, and only once the outstanding balance has been paid in full and a valid payment method has been re-established. We are not liable for any loss, inconvenience, missed opportunity, or other consequence resulting from such termination.

Right to Withdraw. By beginning to use the Service immediately after subscribing, you expressly consent to the immediate performance of the contract and acknowledge that you waive any right of cancellation that would otherwise apply under the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 once the Service has begun.

7. Description of the Service

Division1 Terminal is a macro-data analysis platform built for retail traders. The Service provides:

  • Aggregated economic and financial market data sourced from public and third-party data providers.
  • Macro-conviction scoring and analysis derived from that data.
  • Central bank policy stance tracking and rankings.
  • COT positioning data and analysis.
  • Historical and reference data with rewind functionality.
  • Community spaces for discussion among Users.
  • Other tools and features we may add, modify, or remove from time to time.

The Service is a research and information tool. It is not a brokerage, exchange, signal service, managed account, or investment advisory service. We do not place trades on your behalf, hold customer funds, or execute orders.

Reserved Rights to Change the Service. We reserve the right, at our sole discretion and without liability to you, to add, modify, delay, hold, suspend, discontinue, or restrict access to any feature, tier, or functionality of the Service at any time. This includes, without limitation, features described as "Coming Soon" (such as the Pro tier and any associated advanced models, indicators, or research). We make no commitment, representation, or warranty that any planned, advertised, or "Coming Soon" feature will be released, released on any particular timeline, or made available to any particular User or tier.

8. No Investment Advice / Not a Financial Advisor

To all readers and users, please read this section carefully.

Michiko Academy Ltd and Division1 Terminal are not an investment advisory service, financial advisory firm, broker, broker-dealer, dealer, exchange, custodian, fund manager, asset manager, regulated investment firm, or financial planner. We are not authorised or regulated by the UK Financial Conduct Authority (FCA), the US Securities and Exchange Commission (SEC), the US Commodity Futures Trading Commission (CFTC), or any equivalent regulatory body in any jurisdiction, and we do not require such authorisation because we do not provide investment advice or carry out regulated investment activities.

Nothing on the platforms, products, services or forums constitutes as financial advice, investment advice, tax advice, legal advice, accounting advice, or a personal recommendation of any kind. All content provided through the service, product, or marketing material including policy stance ranking, macro scoring, positioning data, historical analysis, charts, indicators, written commentary and any output generated by the platform or marketing material is provided for informational, educational and research purposes only.

The services and products do not consider your personal financial circumstances, investment objectives, risk tolerance, tax position and/or any other factor specific to you. No information, metric, output, or commentary on the product, service, or marketing should be interpreted as a recommendation, solicitation, offer, or endorsement to buy, sell, hold, enter, exit, or otherwise transact in any currency, security, derivative, commodity, contract for difference, futures contract, option, or any other financial instrument.

By subscribing you understand that any trading or investment decisions made are solely done independently, based on your own research, judgement, and the advice of qualified, appropriately authorised professionals where appropriate. You are solely and fully responsible for every decision you make and every action or activity you take - including any connection with your own trading, investing, and financial activity.

No Assumption of Profitability and No Indication from Past Results. It should not be assumed, expected, implied, or relied upon that the methods, techniques, indicators, models, scoring outputs, rankings, analyses, frameworks, written commentary, or any other content presented through the Service, the Website, the Terminal, the Community, any marketing material, or any related products will be profitable, or that they will avoid, prevent, mitigate, or reduce losses of any kind. Any such content may, and at times will, result in losses.

Past results of any individual trader, trading system, model, indicator, strategy, methodology, or output published or referenced by Division1 Terminal, Michiko.FX, Michiko Academy Ltd, or any of their staff, contributors, partners, or affiliates, whether through the Website, the Terminal, the Community, any social media channel, any marketing material, or any other channel, are not indicative of, and do not guarantee, future returns by that trader, system, model, indicator, strategy, methodology, or output. Past results are also not indicative of, and do not guarantee, the future returns which will be realised by you or by any other User.

Hypothetical, simulated, backtested, demonstrational, or historical performance results have inherent limitations and may not, and frequently do not, reflect actual trading conditions, slippage, execution timing, fees, commissions, taxes, psychological factors, capital constraints, or other real-world variables. You should not place undue weight on any such results when making any decision in connection with the Service.

9. Risk Disclosure

Trading and investing in the financial markets, including the foreign exchange (FX) market, futures, commodities, derivatives, and other financial instruments, carries a significant risk of loss and is not suitable for every investor. You should not trade or invest with funds that you cannot afford to lose.

Risks you must understand and accept before using the Service include, but are not limited to:

  • Risk of Loss. You can lose some, all, or more than the funds you commit to a trade. Leveraged products such as FX, CFDs, and futures can result in losses that exceed your initial deposit.
  • Market Risk.Markets can move rapidly and unpredictably as a result of economic data, central bank decisions, geopolitical events, natural disasters, technical failures, liquidity conditions, and other factors beyond anyone's control.
  • No Guarantee of Performance. Past performance is not indicative of, and does not guarantee, future results. No data, analysis, scoring output, indicator, model, or commentary on the Service constitutes a prediction, projection, or guarantee of future market movement or future trading performance.
  • No Guarantee of Personal Performance. Your personal trading results will depend on your own skill, discipline, risk management, psychology, capital, broker, execution, technology, tax position, and many other factors outside the scope of the Service. We make no representation, warranty, or guarantee about the trading results that any particular User has achieved or will achieve.
  • Data Risk. Data provided through the Service is sourced from third-party providers and public sources, and is subject to delay, error, omission, revision, or interruption. We do not guarantee the accuracy, completeness, timeliness, or fitness for any particular purpose of any Content.
  • Model Risk. Macro-conviction scoring models, central bank stance assessments, positioning analyses, and other derived outputs are based on assumptions, methodologies, and inputs that may be incomplete, simplified, or subject to error. Outputs may be revised, recalibrated, or withdrawn at any time without notice.
  • Liquidity Risk. Markets can become illiquid, particularly during news events, weekends, holidays, and unusual market conditions, resulting in slippage, gapping, and inability to enter or exit positions at expected prices.

You acknowledge and accept these risks. You agree that you are solely responsible for any financial loss, opportunity cost, tax consequence, or other consequence resulting from your use of the Service or any decision you make in connection with it.

If you are unsure whether trading or investing is suitable for you, you should seek independent advice from a qualified financial adviser regulated in your jurisdiction before using the Service.

10. Notice to United States Users

Michiko Academy Ltd is a United Kingdom limited company. The Service is operated from, and governed by the laws of, England and Wales. We are not registered with, authorised by, or regulated by any United States federal or state regulatory body, including the US Securities and Exchange Commission (SEC), the US Commodity Futures Trading Commission (CFTC), the National Futures Association (NFA), the Financial Industry Regulatory Authority (FINRA), or any state securities regulator.

If you are a resident of, citizen of, or otherwise subject to the laws of the United States or any of its territories:

  • You acknowledge that the Service is not designed, intended, or authorised for use in the United States.
  • You acknowledge that your jurisdiction is not covered by these Terms and that we make no representation that the Service complies with any United States federal, state, or local law or regulation.
  • You acknowledge that you are accessing and using the Service entirely at your own risk and on your own initiative.
  • You are solely responsible for determining whether your access to and use of the Service is lawful in your jurisdiction.

By continuing to access and use the Service, you accept full responsibility for any consequence of doing so under the laws of the United States or any of its territories.

11. User Responsibilities and Acknowledgements

You acknowledge and agree that:

  • You are an independent adult capable of making your own financial decisions.
  • You will not rely on the Service as the sole basis for any trading or investment decision.
  • You will not treat any Content on the Service as a personal recommendation, signal, or advice.
  • You are solely responsible for your own trading, investing, account management, risk management, tax compliance, and regulatory compliance.
  • You are responsible for ensuring that any use of the Service complies with the laws and regulations of your country of residence and the country from which you access the Service.
  • You will not hold Michiko Academy Ltd, Division1 Terminal, or any of their directors, officers, employees, contractors, partners, or affiliates liable for any decision you make, action you take, or loss you suffer in connection with your use of the Service.

12. Acceptable Use Policy

When using the Service, you agree that you will NOT:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Service, any other User's Account, or any system or network connected to the Service.
  • Reverse-engineer, decompile, disassemble, scrape, copy, extract, mirror, or otherwise attempt to derive the source, methodology, weights, formulas, or underlying logic of any model, score, indicator, or output of the Service.
  • Resell, redistribute, sublicense, rent, lease, or commercially exploit any part of the Service or any Content obtained from it.
  • Use any automated means (bots, scrapers, crawlers, scripts, agents) to access, monitor, or extract Content from the Service.
  • Interfere with, disrupt, or place an unreasonable load on the Service, its servers, or its networks.
  • Impersonate any person or entity, including any Michiko Academy or Division1 Terminal staff member or moderator.
  • Upload, post, or transmit any virus, malware, harmful code, or other malicious material.
  • Use the Service in any way that infringes the intellectual property, privacy, publicity, or other rights of any person.

Division1 Terminal has invested in security hardening software, anti-virus and anti-malware protection, and API detection to detect abuse of the platform. We may, at our sole discretion and without prior notice, suspend or terminate the Account of any User who violates this policy.

13. Community Guidelines and Strict Anti-Solicitation Policy

When you participate in any Community space provided by the Service, you agree to the following Community Guidelines.

Original content only. You must not post, share, copy, paste, screenshot, redistribute, or otherwise reproduce content, trade setups, charts, ideas, signals, commentary, or analysis that originated from any other page, channel, group, community, course, terminal, platform, service, or competing provider. All content you share in the Community must be created by you, the posting User.

Strict no-solicitation and no-promotion. You must not, in any Community space, advertise, promote, recommend, refer, link to, or solicit signups for any external product, service, signal group, course, community, broker, prop firm, mentor, coach, software, indicator, token, fund, scheme, or any other commercial, personal, or third-party offering. This includes direct and indirect promotion, affiliate links, referral codes, screenshots that promote third parties, watermarks, or any other form of solicitation.

Use designated channels. You must post each message in the channel that is designated for that topic. Off-topic posts may be removed without notice in order to keep the server organised and useful for all Users.

Respectful conduct. You must treat all Users, moderators, and staff with respect. You must not engage in harassment, hate speech, threats, doxxing, sexual content, deliberate provocation, or any behaviour that a reasonable person would consider abusive, discriminatory, or harmful.

No financial advice from Users. Users must not provide personalised financial advice, trade signals, or specific trading recommendations to other Users. Discussion of public macro data and your own analysis is welcome; instructing other Users to take specific positions is not.

We reserve the right to enforce these Community Guidelines at our sole discretion.

14. Privacy, Safety, and Impostor Warning

Community channels are public. Messages, usernames, profile information, and any other content you share in any Community space may be visible to other Users, moderators, staff, and, in some cases, the public. You should not post any personal information, financial information, trading account credentials, account balances, payment details, identity documents, or any other sensitive information that you would not be comfortable sharing with a stranger. Sharing such information is at your own risk.

No staff DMs requesting payment or credentials. Michiko Academy and Division1 Terminal staff and moderators will NEVER send you a direct message (DM) asking for payment, payment details, account credentials, passwords, recovery codes, two-factor authentication codes, identity documents, broker credentials, exchange credentials, or any other sensitive information. If you receive any such message claiming to be from Michiko Academy or Division1 Terminal staff, treat it as an impersonation attempt and report it immediately to a moderator or to michiko@michikofx.com.

No affiliations outside Michiko Academy and Division1 Terminal. We are not affiliated with, partnered with, endorsed by, sponsored by, or otherwise connected to any other education provider, signal service, prop firm, broker, exchange, mentor, coach, community, application, website, or commercial entity. Any account, channel, page, website, application, or person claiming such an affiliation or claiming to act on our behalf, outside of our own official channels, is an impersonator and should be treated as such. You are responsible for reporting any suspected impersonator, scam, or suspicious account to us immediately.

Zero tolerance for abusive, disrespectful, or harmful conduct. Michiko Academy Ltd is committed to maintaining a respectful, safe, professional, and constructive environment across every part of the Service and the Community. We operate a zero-tolerance policy against any form of abusive, rude, hostile, hateful, harassing, intimidating, threatening, bullying, discriminatory, sexually explicit, defamatory, demeaning, disrespectful, or otherwise harmful conduct directed at any User, moderator, member of staff, contractor, partner, or affiliate of Michiko Academy Ltd, whether occurring on or off the Service.

Prohibited conduct includes, but is not limited to: insults, name-calling, personal attacks, mocking, ridiculing, or belittling other Users; harassment, repeated unwanted contact, or unwelcome direct messages; threats, intimidation, blackmail, or coercion of any kind; hate speech, slurs, or discrimination on the basis of race, ethnicity, nationality, religion, gender, sexual orientation, gender identity, disability, age, appearance, socio-economic status, trading experience, account size, profitability, or any other personal characteristic; doxxing, swatting, sharing of another person's private information, or any breach of another person's privacy; sexual content, sexual harassment, unsolicited sexual advances, or any sexually inappropriate language or imagery; deliberate provocation, trolling, brigading, dog-piling, or coordinated harassment campaigns; spreading false, malicious, or defamatory statements about any User, moderator, staff member, or Michiko Academy Ltd itself; or any conduct that a reasonable person would consider abusive, rude, harmful, or contrary to the maintenance of a healthy, welcoming community.

This zero-tolerance policy applies across every channel of the Service, including public Community chatrooms, private direct messages between Users, voice or video channels, comments, reactions, status updates, profile names, profile pictures, and any other communication carried through the Service. It also applies to off-platform conduct (including conduct on social media, third-party platforms, email, telephone, or in person) directed at any User, moderator, or staff member in connection with the Service.

We will not warn, debate, or negotiate with offenders. Any User found, in our sole and absolute discretion, to be engaged in conduct contrary to this policy may be permanently removed, banned, and have their Account terminated immediately, with or without prior notice, and without any refund, partial refund, credit, or continued access to the Service.

Your responsibility to report. You are responsible for reporting any abusive behaviour, suspicious account, suspected impersonator, or violation of these Terms to a moderator or to michiko@michikofx.com as soon as you become aware of it.

We are not liable for any loss, damage, harm, embarrassment, identity theft, financial loss, or other consequence resulting from information you choose to share publicly in the Community, from interactions with other Users, or from interactions with any third party (whether or not that third party falsely claims to represent us).

15. Community Moderation, Suspension and Removal

We reserve the absolute, sole, and unreviewable right, at our discretion, to:

  • Remove any User-Generated Content from the Community at any time, with or without notice and with or without reason.
  • Issue warnings, mute, suspend, restrict, ban, or permanently remove any User from any Community space.
  • Suspend or terminate any User's Account and access to the entire Service.
  • Refuse service to any person.

Grounds for such action include, but are not limited to: any breach (or suspected breach) of these Terms, the Community Guidelines, or the Acceptable Use Policy; any reckless, abusive, unkind, deceptive, suspicious, or harmful behaviour; any conduct that, in our judgement, is detrimental to the safety, integrity, or quality of the Community or the Service; or any other conduct that we, in our sole discretion, determine warrants action.

We are not required to provide reasons for any moderation action, nor to operate any appeal process. A User whose Account is terminated for breach of these Terms is not entitled to any refund or access of any kind.

16. Intellectual Property

All intellectual property in and relating to the Service, including the Division1 Terminal platform, software, methodology, models, scoring logic, indicators, weights, formulas, code, content, designs, graphics, logos, names, branding, and Content (other than User-Generated Content), is owned by or licensed to Michiko Academy Ltd. All such intellectual property is protected by copyright, trade mark, database rights, and other intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal, non-commercial use during your Subscription, subject to your continuous compliance with these Terms.

You receive no other rights. In particular, you may not:

  • Copy, modify, distribute, publish, transmit, display, perform, create derivative works of, or otherwise exploit any part of the Service or Content, except as expressly permitted in these Terms.
  • Resell, sublicense, redistribute, rent, lease, share, sell access to, or otherwise use any part of the Service, the Content, or your Account for any commercial purpose, including (without limitation) any signal-sharing service, paid mentorship, training programme, prop firm, fund, group subscription, course, or any other commercial offering, whether for profit or otherwise.
  • Use any of our trade marks, logos, or branding without our prior written consent.
  • Remove or alter any copyright, trade mark, or other proprietary notice on any part of the Service.

User-Generated Content. You retain ownership of the User-Generated Content you create. By posting User-Generated Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable, perpetual licence to host, store, reproduce, display, distribute, modify, and otherwise use your User-Generated Content for the purpose of operating, providing, improving, marketing, and promoting the Service. You represent and warrant that you own or have all necessary rights to grant this licence.

17. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranty of any kind, express or implied, to the maximum extent permitted by applicable law.

We make no representation, warranty, or guarantee that:

  • The Service will be uninterrupted, secure, error-free, accurate, complete, or timely.
  • Any Content, score, indicator, ranking, dataset, or analysis is accurate, complete, current, reliable, or fit for any particular purpose.
  • The Service will meet your requirements or expectations.
  • Any defect in the Service will be corrected.
  • The Service is free from viruses, malware, worms, ransomware, harmful code, security vulnerabilities, or other harmful components.

We use reasonable, industry-standard measures to protect the Service against viruses, malware, security threats, and cyber attacks. However, we do not guarantee, and cannot guarantee, that the Service, the Website, the Terminal, the Community, or any associated software or download is or will be free from viruses, malware, ransomware, spyware, or other harmful or destructive components, or that the Service will be available without interruption or free from defect.

To the maximum extent permitted by law, we expressly disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, title, and non-infringement.

You are solely responsible for protecting your own systems, devices, networks, and data, including by using appropriate antivirus software, firewalls, secure passwords, two-factor authentication, regular backups, and other security measures.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Michiko Academy Ltd, Division1 Terminal, and their respective directors, officers, employees, contractors, partners, affiliates, agents, and licensors will not be liable to you, under any legal theory (contract, tort including negligence, breach of statutory duty, or otherwise), for any:

  • Loss of profit, revenue, business, opportunity, anticipated savings, or goodwill;
  • Loss of, damage to, or corruption of data, content, files, or records;
  • Loss of trading capital, investment capital, or any other financial loss arising from your trading, investment, or other financial activity;
  • Loss or damage caused by any virus, malware, ransomware, spyware, denial-of-service attack, distributed denial-of-service attack, or other harmful or destructive component that may infect your computer equipment, software, data, or other proprietary material as a result of your use of the Service, your downloading of any material from the Service, or any website linked to the Service;
  • Loss or damage to your computer hardware, mobile device, software, network, or any other equipment;
  • Personal injury, emotional distress, or psychological harm;
  • Any indirect, special, incidental, consequential, punitive, or exemplary loss or damage of any kind,

arising out of or in connection with your access to, use of, inability to use, or reliance on the Service, the Content, the Community, or any link to or from the Service, even if we have been advised of the possibility of such loss or damage.

To the maximum extent permitted by law, the total aggregate liability of Michiko Academy Ltd, Division1 Terminal, and their respective directors, officers, employees, contractors, partners, affiliates, agents, and licensors to you for all claims arising out of or in connection with the Service or these Terms is limited to the total amount you have actually paid to us in Subscription fees in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

19. Indemnification

  • Any User-Generated Content you post, share, or submit through the Service;

Service.We may at any time, in our sole discretion, change, add, modify, suspend, delay, hold, withdraw, or discontinue any feature, tier, indicator, model, dataset, function, or part of the Service, with or without notice. We reserve the right to do so for "Coming Soon" features (including any future Pro tier and any associated advanced models, indicators, or research) and for any other feature, tier, or functionality of the Service, regardless of whether such feature has been advertised, promised, mentioned, or planned. We are not liable for any loss or inconvenience caused by any such change.

Terms.We may amend these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by updating the "Last Updated" date at the top of these Terms and, where appropriate, by notifying you through the Service or by email). 21. Termination

These Terms remain in force for as long as you have an Account or otherwise use the Service.

You may terminate your relationship with us at any time by cancelling your Subscription and discontinuing use of the Service.

We may terminate or suspend your Account, your Subscription, and your access to the Service, in whole or in part, with or without notice, at our sole discretion, for any reason, including (without limitation) any breach (or suspected breach) of these Terms.

On termination, your right to access the Service ends immediately. Provisions of these Terms that by their nature should survive termination shall survive, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

22. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or their formation, are governed by and construed in accordance with the laws of England and Wales. You and we agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

Our failure to enforce any provision of these Terms shall not be construed as a waiver of that provision or of any other provision.
